Gaslighting, manipulation, or intentionally misleading others

Attempting to damage the reputation or integrity of the platform
Posting harmful, toxic, or disruptive content
INTELLECTUAL PROPERTY

No copying, stealing, or recreating content, ideas, or concepts from this platform

BirdGang Nation uses an AI moderation system to automatically review user-generated content. This system helps maintain community integrity by detecting and flagging potential violations in real-time.

LIQUIDATED DAMAGES & PENALTY CLAUSE
Financial liability for violations — up to $5,000,000 USD
UP TO $5,000,000 USD IN DAMAGES
Section 8.1 — Liquidated Damages. The Parties acknowledge and agree that any breach of this Agreement involving the misappropriation, unauthorized reproduction, reverse engineering, or derivative use of proprietary content, trade secrets, business concepts, platform architecture, branding elements, user data, or any other intellectual property owned or controlled by BirdGang Nation (collectively, "Protected Assets") may result in irreparable harm for which monetary damages alone would be insufficient. Accordingly, the breaching Party shall be liable for liquidated damages in an amount not to exceed Five Million United States Dollars ($5,000,000.00 USD), which the Parties agree represents a reasonable estimate of the anticipated or actual harm caused by such breach and is not intended as a penalty.
Section 8.2 — Scope of Prohibited Conduct. Without limiting the generality of the foregoing, the following acts shall constitute material breaches subject to the liquidated damages provision set forth in Section 8.1:
(a) Unauthorized access to, copying of, or distribution of proprietary platform code, algorithms, databases, or system architecture;
(b) Misappropriation, theft, or unauthorized use of business concepts, strategies, methodologies, or operational frameworks developed by or for BirdGang Nation;
(c) Deliberate sabotage, interference with, or disruption of platform operations, services, infrastructure, or user experience;
(d) Unauthorized collection, harvesting, scraping, or exfiltration of user data, analytics, or personally identifiable information;
(e) Defamation, disparagement, or publication of materially false statements intended to damage the reputation, goodwill, or commercial interests of BirdGang Nation;
(f) Solicitation or inducement of platform users, ambassadors, sponsors, or partners for the purpose of diverting business to a competing enterprise;
(g) Any attempt to circumvent, disable, or interfere with security features, access controls, or digital rights management systems;
Section 8.3 — Injunctive Relief. In addition to liquidated damages, BirdGang Nation reserves the right to seek injunctive or equitable relief, including but not limited to temporary restraining orders, preliminary injunctions, and permanent injunctions, in any court of competent jurisdiction to prevent ongoing or threatened breaches of this Agreement. The availability of such equitable remedies shall not be construed as a limitation on any other rights or remedies available at law or in equity.
Section 8.4 — Legal Fees & Costs. In the event that BirdGang Nation prevails in any action or proceeding to enforce the terms of this Agreement, the breaching Party shall be responsible for all reasonable attorneys' fees, court costs, expert witness fees, and other litigation expenses incurred by BirdGang Nation in connection with such enforcement.
Section 8.5 — Survival. The obligations and liabilities set forth in this Section shall survive the termination, expiration, or cancellation of this Agreement and shall remain in full force and effect for a period of five (5) years following the date of the alleged breach.
NOTICE: By accessing or using the BirdGang Nation platform, you expressly acknowledge that you have read, understood, and agree to be bound by the liquidated damages provision set forth herein. This clause is enforceable to the fullest extent permitted by applicable law. If you do not agree to these terms, you must immediately cease all use of the platform.
BY USING BIRDGANG NATION, YOU AGREE TO:
